Shein Confidentially Files for London IPO Amid U.S. Scrutiny

BusinessShein Confidentially Files for London IPO Amid U.S. Scrutiny

Online fast-fashion retailer Shein has confidentially filed initial paperwork for a public listing on the London Stock Exchange, according to reports from multiple news agencies. The move signals a potential shift in the company’s strategy after its previously reported plans for an initial public offering (IPO) in the United States faced scrutiny from lawmakers and regulators.

The potential flotation, which reports suggest could value the Singapore-based company at approximately £50 billion ($64 billion), would represent one of the most significant public listings in London in several years. Neither Shein nor the UK’s Financial Conduct Authority (FCA) has publicly confirmed the filing, in line with standard procedures for confidential submissions.

Shein’s consideration of a London IPO follows a period of examination in the U.S. The company filed for a U.S. listing confidentially in November 2023 but encountered resistance from some American lawmakers. Members of Congress raised concerns about the company’s supply chain transparency, labor practices, and its use of a U.S. trade-law provision known as de minimis. This provision allows small-value packages to be imported into the U.S. tariff-free.

A June 2023 report from a U.S. House committee stated that Shein and other retailers were potentially using the de minimis exemption to avoid customs duties and inspections. The report also focused on allegations of forced labor in the cotton industry in China’s Xinjiang region.

In response to such criticisms, Shein has consistently stated that it has a zero-tolerance policy for forced labor and requires its contract manufacturers to comply with its code of conduct, which is aligned with International Labour Organization conventions. The company has also noted that it is investing millions of dollars to strengthen its supply chain governance and compliance.

The potential listing has drawn varied reactions in the United Kingdom. Some financial analysts and officials have indicated that a successful IPO of this scale could provide a substantial boost to the London market. Others, including human rights groups and some UK lawmakers, have echoed the concerns raised in the U.S. and have called on UK regulators to conduct a thorough review of Shein’s business practices and supply chain ethics before any approval is granted.

The next steps involve a formal review by the FCA, which will scrutinize the company’s prospectus and corporate governance. The timeline for a final decision on the listing has not been announced.
